Schneider Electric agrees to buy PTC for $22.6 billion to build an industrial AI software franchise

On October 5, 2026, Schneider Electric and PTC announced a definitive agreement under which Schneider will acquire PTC, the Boston-based maker of product design, engineering and lifecycle software. PTC’s Form 8-K says the merger agreement was signed on October 4 and that each PTC share will be converted into $205 in cash. The joint press release, filed as Exhibit 99.1, values PTC’s equity at about $22.6 billion (20.1 billion euros) and its enterprise value at $23.7 billion, a 42.3 percent premium to PTC’s last closing price.

The companies framed the deal around AI. The release says the combination “creates a leading, scaled, open and interoperable industrial software and AI franchise” and establishes “a unified digital thread fuelled with a contextualized AI Data Foundation” across products, machines, processes and energy systems. Schneider CEO Olivier Blum called it “the industry’s most complete Software & AI powerhouse” and tied it to Schneider’s AVEVA business and its proposed acquisition of Cognite.

Schneider expects about 250 million euros of annual run-rate cost synergies by year three and about 800 million euros of revenue synergies. The deal needs PTC shareholder and regulatory approval.

Why it matters: at $23.7 billion of enterprise value this is a very large software deal, and it is justified as a bet that industrial AI needs clean, connected design and operations data. Buyers are paying large premiums for the data layer that AI agents will sit on, not only for AI models themselves.

What it does not show: PTC is a design and lifecycle software company, not an AI lab, and the AI framing is the buyers’ strategic narrative. The synergy figures are projections, and the deal has not closed.
